Terms & Conditions — Holiday Xpert LTD

Welcome to Holiday Xpert LTD (“Holiday Xpert LTD,” “we,” “our,” “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, mobile experiences, tools, and related booking services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms as well as our Privacy Policy and Cookie Policy,

1) About Us & Role as an Agency

Holiday Xpert LTD is an independent online travel agency and technology platform. We do not operate flights or transportation. Transportation and related services are provided by independent third-party suppliers (collectively, “Carriers” or “Providers”), such as airlines, rail operators, hotels, ground-transfer companies, and insurers. When you make a booking through our Services, you enter into a contract with the applicable Provider(s). Their fare rules, contract of carriage, and policies govern the service you receive and prevail over any general information shown on our site.

2) Eligibility & Account Responsibilities

  • You must be at least the age of legal majority in your jurisdiction and have authority to bind any travelers you book for.
  • You agree to provide accurate, complete, and current information (including names exactly as on government ID).
  • You are responsible for safeguarding account credentials and all activity under your account.
  • We may decline, suspend, or terminate access where we reasonably suspect fraud, abuse, or policy violations.

3) Booking Process & Contracting

  1. Search & Selection: You search and select options returned by Providers or distribution partners.
  2. Checkout: We display an all-in total where possible; some taxes/fees are finalized at checkout.
  3. Authorization: Your bank/card issuer may place a hold for the displayed total. This is not a ticket.
  4. Acceptance by Provider: Inventory is confirmed by the Provider. If accepted, your fare rules are bound to the booking.
  5. Issuance & Delivery: The Provider issues ticket documents; we deliver confirmations and instructions electronically.

If a Provider cannot accept your booking or a material error is discovered, we will notify you and offer options (e.g., proceed at the correct price, a reasonable alternative, or cancel without our penalty).

4) Prices, Taxes, Fees & Currency

  • Dynamic pricing: Fares and availability change frequently and are confirmed only upon ticket issuance.
  • Taxes/fees: Government-imposed charges, station/airport fees, and Provider-imposed surcharges may apply. See our Taxes & Fees.
  • Agency fees: Post-ticketing work you request (e.g., voluntary changes) may incur our service/admin fee, disclosed in advance. See Our Service Fees.
  • Currency: Charges are processed in USD unless otherwise stated at checkout. Your bank’s FX rates/fees may apply.
  • Promotions: Coupons or promos may be capacity-limited and can end without notice.

5) Payments, Fraud Screening & Security

  • You authorize us and our payment processors to charge your selected method for totals you approve.
  • We use automated and manual anti-fraud controls. We may request additional verification before ticketing. Unverifiable or high-risk orders may be canceled and refunded.
  • If your payment fails or is reversed, we may cancel the booking and any documents issued.

6) Confirmation, Ticket Issuance & Delivery

  • Order acknowledgment emails are not tickets. Tickets are valid only after Provider issuance.
  • Documents are delivered electronically to the email you provide. Check spam/junk and verify details within 24 hours.
  • On reissues, only the most recent ticket/itinerary is valid. Prior documents may be voided by the Provider.

7) Changes, Cancellations, No-Shows & Refunds

  • Voluntary (your request): Subject to fare rules and cutoffs. Carrier change fees and fare differences may apply in addition to any disclosed agency fee for processing.
  • Involuntary (Provider-initiated): Schedule changes or cancellations are handled under Provider policy. Our equivalent handling fee is typically waived.
  • No-shows: Missing a departure generally voids value; remaining segments may auto-cancel.
  • Refunds: Only where fare rules or law permit. Approved refunds are returned to the original form of payment where feasible; timing depends on banks/Providers. See our Refund Policy.
  • Chargebacks: Please contact us first; most issues resolve faster with Provider documentation. Initiating a chargeback during an ongoing resolution can delay outcomes.

8) Credits, Vouchers & Reissues

  • When cash refunds are not available, Providers may issue credits/vouchers subject to their own expiry, transfer, and blackout rules.
  • We record terms we receive and can assist with redemption where allowed; final control remains with the Provider.

9) Travel Documents, Check-In & Baggage

  • You are solely responsible for valid passports, visas, transit permissions, vaccinations, and entry requirements.
  • Arrival times, check-in cutoffs, and document requirements vary by Provider and destination. Review your confirmation carefully.
  • Baggage allowances and fees are set by Providers and may differ by fare type and route.

10) Accessibility, Minors & Special Assistance

  • Tell us about accessibility needs early so we can request assistance with Providers where supported.
  • Unaccompanied minor policies, seating rules, and special services are set by Providers and may require additional fees or approvals.

11) Acceptable Use & Site Conduct

  • Do not misuse the Services, interfere with security, scrape content, or attempt to reverse-engineer our systems.
  • Automated queries require our written permission. We may throttle, block, or suspend accounts that violate these Terms.

12) Intellectual Property & License

The Services and all related content—including logos, trademarks, text, graphics, software, and design—are owned by or licensed to Holiday Xpert LTD and are protected by intellectual-property laws. You receive a limited, non-exclusive, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms. Any unauthorized use is prohibited.

13) Third-Party Links, Tools & Content

We may provide links to third-party sites, tools, or content we do not control. We are not responsible for their policies, availability, or performance. Your dealings with third parties are solely between you and them; review applicable terms and privacy notices before using their services.

14) Disclaimers & No Warranties

To the maximum extent permitted by law, the Services and all content are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind—express, implied, or statutory—including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.

15) Limitation of Liability & Indemnification

To the fullest extent permitted by law, Holiday Xpert LTD and its affiliates, officers, employees, agents, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or in connection with the Services, bookings, or your use of the site, whether based in contract, tort, strict liability, or otherwise—even if advised of the possibility of such damages. Our responsibility for direct damages is limited as permitted by applicable law and does not extend to matters beyond our reasonable control.

You agree to defend, indemnify, and hold harmless Holiday Xpert LTD and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Services, violation of these Terms, or infringement of third-party rights.

16) Service Interruptions & Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including but not limited to weather, natural disasters, pandemics, labor disputes, governmental actions, infrastructure failures, cyber incidents, or outages by Providers or third-party networks.

17) Privacy, Cookies & Marketing

Our collection and use of personal information are described in our Privacy Policy and Cookie Policy. Where required by law, we honor your privacy choices (including consent preferences and recognized user opt-out signals).

18) Governing Law, Venue & Dispute Resolution

These Terms and any dispute arising from them are governed by the laws of the State of [Insert State], USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in [Insert County/State], except where applicable law provides otherwise.

20) Miscellaneous

  • Severability: If any provision is found unenforceable, the remainder remains in effect.
  • No waiver: Our failure to enforce a right is not a waiver of future enforcement.
  • Entire agreement: These Terms, together with incorporated policies, form the entire agreement between you and us regarding the Services.
  • Electronic communications: You consent to receive communications electronically (email, site notices) related to your use of the Services.
  • Assignment: We may assign our rights and obligations; you may not assign without our prior written consent.
